1. Agreement to Terms

These Terms of Service ("Terms") govern your access to and use of Vorqali("the Service"), operated by Hove Software Pty Ltd ("we", "us", or "our").

By accessing or using the Service, you agree to be bound by these Terms. If you disagree with any part of the Terms, you may not access the Service.

2. Description of Service

Vorqali provides quoting and follow-up software for trade businesses. The Service includes:

Quote creation and management
Automated follow-up communications (SMS and email)
Client and job tracking
Business analytics and reporting

3. Account Registration

To use the Service, you must create an account. You agree to:

Provide accurate and complete registration information
Maintain the security of your account credentials
Promptly update any changes to your information
Accept responsibility for all activities under your account
Notify us immediately of any unauthorised access

4. Subscription and Billing

4.1 Free Trial

New users may be eligible for a free trial period. At the end of the trial, you must subscribe to a paid plan to continue using the Service.

4.2 Subscription Plans

Subscription fees are billed in advance on a monthly or annual basis. All fees are non-refundable except as required by Australian Consumer Law.

4.3 Price Changes

We may change our prices with 30 days' notice. Price changes will apply from your next billing cycle after the notice period.

4.4 SMS Credits

Some plans include SMS credits for follow-up messages. Additional SMS usage may be charged at the rates displayed in your account dashboard.

5. Acceptable Use

You agree not to use the Service to:

Violate any applicable laws or regulations
Send spam or unsolicited communications
Harass, abuse, or harm others
Impersonate any person or entity
Interfere with or disrupt the Service
Attempt to gain unauthorised access to any systems
Use the Service for any illegal or fraudulent purpose

6. Your Data

6.1 Ownership

You retain ownership of all data you upload or create using the Service. By using the Service, you grant us a licence to use, store, and process your data solely to provide the Service to you.

6.2 Data Export

You may export your data at any time through the Service. Upon account termination, we will retain your data for 30 days to allow export, after which it will be deleted.

6.3 Client Communications

When using our follow-up features, you are responsible for ensuring that you have appropriate consent from your clients to contact them. You must comply with all applicable spam and telemarketing laws.

7. Intellectual Property

The Service, including its original content, features, and functionality, is owned by Hove Software Pty Ltd and is protected by copyright, trademark, and other intellectual property laws.

Our trademarks may not be used without our prior written consent.

8. Third-Party Services

The Service may integrate with third-party services (e.g., payment processors, SMS providers). Your use of such services is subject to their respective terms and privacy policies. We are not responsible for the content or practices of third-party services.

9. Limitation of Liability

To the maximum extent permitted by Australian Consumer Law:

The Service is provided "as is" without warranties of any kind
We do not guarantee uninterrupted or error-free service
We are not liable for any indirect, incidental, or consequential damages
Our total liability is limited to the fees paid by you in the 12 months preceding the claim

10. Indemnification

You agree to indemnify and hold harmless Hove Software Pty Ltd, its officers, directors, employees, and agents from any claims, damages, or expenses arising from your use of the Service or violation of these Terms.

11. Termination

We may terminate or suspend your account immediately, without prior notice, for:

Breach of these Terms
Non-payment of fees
Fraudulent or illegal activity
Any other reason at our sole discretion

You may cancel your account at any time through your account settings.

12. Dispute Resolution

Any disputes arising from these Terms or the Service will be governed by the laws of New South Wales, Australia. You agree to submit to the exclusive jurisdiction of the courts of New South Wales.

Before initiating legal proceedings, you agree to attempt to resolve disputes through good-faith negotiation.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes via email or through the Service. Your continued use of the Service after changes constitutes acceptance of the modified Terms.
